Contractul de leasing-sub aspect național și internațional

Abstract

Scopul lucrării: îl reprezintă cadrul legislativ și normativ în vigoare al Republicii Moldova cu privire la operațiunile de leasing, precum și cel ce reflectă în timp evoluția leasingului în țară, în același timp legislațiile unor state din fostul bloc al republicilor socialiste cum ar fi Federația Rusă, Ucraina și România. În cadrul cercetărilor au fost analizate și aspecte ale operațiunilor de leasing din statele cu o economie dezvoltată, ca de exemplu Germania, Franța, Belgia și SUA.

Obiectivele generale: rezidă în analiza leasingului, a naturii lui juridice, în explicarea tipurilor și categoriilor leasingului precum și în determinarea locului leasingului în sistemul dreptului civil. Pentru atingerea scopului propus se trasează realizarea următoarelor obiective: definirea noțiunii, determinarea esenței și a caracterelor contractului de leasing; definirea leasingului sub aspect economic și juridic; analiza comparativă a reglementărilor juridice privind contractul de leasing existente în Republica Moldova, în alte state, precum și a normelor unificate în materie; evidențierea și analiza lacunelor și incertitudinilor legale precum și a problemelor actuale în procesul de exercitare a operațiunilor de leasing; determinarea naturii contractului prin analiza conceptelor teoretice fundamentate privind leasingul, a caracterelor, elementelor și a conținutului acestuia; formularea concluziilor și recomandărilor finale.

Metodele аplicаte lа elаborаreа lucrării: au fost utilizate mai multe metode, tehnici şi instrumente, cum ar fi: metoda istorică, a observării directe, gruparea, analiza și sinteza, inducția și deducția, cercetarea de la abstract la concret, analogia, generalizarea, etc. De asemenea au fost aplicate metode special-juridice și anume metoda analizei complexe și interpretative a actelor normative, metode formal-juridice, ale logicii formale, concret-sociologice, etc.

Rezultatul concret obţinut: în urma elaborării cercetării ştiinţifice în domeniul reglementării juridice a contractului de leasing, а fost întitulată o lucrare unică în аceаstă tematică, cu o examinare aprofundată а tuturor elementelor esenţiale, precum şi un șir de relatări ce pot servi exemplu pentru o viitoare analiză, sau drept sursă în alte domenii, altele decât dreptul.

The purpose of the thesis: it represents the legislative and normative framework in force of the Republic of Moldova regarding leasing operations, as well as the one that reflects the evolution of leasing in the country over time, at the same time the legislation of some states from the former block of socialist republics such as the Russian Federation, Ukraine and Romania. The research also analyzed aspects of leasing operations in countries with a developed economy, such as Germany, France, Belgium and the USA.

General objectives: resides in the analysis of leasing, its legal nature, in explaining the types and categories of leasing as well as in determining the place of leasing in the civil law system. To achieve the proposed goal, the achievement of the following objectives is outlined: defining the notion, determining the essence and characteristics of the leasing contract; defining leasing from an economic and legal point of view; the comparative analysis of the legal regulations regarding the leasing contract existing in the Republic of Moldova, in other states, as well as the unified norms in the matter; highlighting and analyzing legal gaps and uncertainties as well as current problems in the process of exercising leasing operations; determining the nature of the contract by analyzing the grounded theoretical concepts regarding leasing, its characters, elements and content; formulating conclusions and final recommendations.

Methods applied for the elaboration of the thesis: several methods, techniques and tools were used, such as: historical method, direct observation, grouping, analysis and synthesis, induction and deduction, research from abstract to concrete, analogy, generalization, etc. Also, special-legal methods were applied, namely the method of complex and interpretive analysis of normative acts, formal-legal methods, of formal logic, concrete-sociological.

The actual result obtained: following the elaboration of the scientific research in the field of the legal regulation of the leasing contract, a unique work on this topic was titled, with an in-depth examination of all the essential elements, as well as a series of reports that can serve as an example for a future analysis, or as a source in fields other than law.
